Affiliate and partner terms and conditions

Background and Purpose

This agreement (hereinafter referred to as the “Agreement”) sets out the terms and conditions for participation as an affiliate and partner (hereinafter referred to as “Affiliate”) in the Gentlemen of Sweden AB (hereinafter referred to as the “Company”) network (hereinafter referred to as the “Network”) for affiliates and partners.

Terms and conditions of use

• By applying to become an Affiliate and accepting this Agreement, the Affiliate agrees to abide by these terms.
• The Company may change the terms and conditions or affiliated services to the Network and Affiliates without prior notice. It is the Affiliate’s responsibility to ensure that all conditions and requirements are met. If this happens, the Company will update the Affiliate by email.
• The Agreement may not be transferred by the Affiliate in any form without the written consent of the Company.

Application and Approval

• To apply to become an Affiliate, you must fill in the application form on our website.
• The company reserves the right to accept or reject applications at its sole discretion.
• Being connected to the Network as a partner or affiliate does not mean that the Affiliate is employed by the Company.

Affiliates Responsibility

• The Affiliate shall promote the Company’s products or services in an honest and responsible manner.
• Affiliate may not use:
• False claims: making false claims about products or services offered by the Company.
• Dishonest reviews: publishing dishonest reviews or ratings of products or services with the aim of misleading customers.
• Trademark infringement: using the Company’s, or other personal or corporate trademarks in connection with the Company’s marketing, logos or intellectual property without authorization.
• Spyware or malware: Using spyware, viruses, malware or other techniques to disrupt the Company’s website or operations.
• Dishonest marketing practices: engaging in dishonest marketing practices such as click fraud, traffic bots or other manipulative techniques.
• Paid advertising: Affiliates may not use paid advertising for promotion.
• The Company has the right to monitor and analyze all traffic generated by the Affiliate to verify that traffic created by the Affiliate complies with the applicable terms and conditions.
• The Affiliate recognizes that confidential information shared by the Company should be handled in a secure manner to prevent disclosure. The Affiliate also undertakes to notify the Company immediately in the event of any suspected disclosure of confidential information.
• Affiliates will comply with applicable laws and regulations when advertising through the respective marketing channels.
• Affiliate warrants that the information shared with the Company is accurate and complete and is updated promptly in the event of changes.
• Only one account per Affiliate is allowed.

Commission and Payment

• Being connected to the Company Network is free of charge.
• Affiliates need to invoice the commission via their own, or external company such as https://coolcompany.com/
• Affiliates will be entitled to a commission based on either a fixed sum or a percentage of sales generated through their marketing efforts, according to the agreed terms.
• Commission in excess of 500sek is paid monthly to the account notified by the Affiliate. If the commission does not exceed 500sek, it is added to the next month’s payment.
• Any fees for payment are paid by the Affiliate.
• Any taxes are paid by the Affiliate.
• The terms of compensation may change without notice and without notifying the Affiliate in advance.

Intellectual Property

• An approved and active Affiliate is entitled to use the Network and the services provided by the Company under the terms described in this Agreement.
• An approved and active Affiliate has the right to use the advertising material shared by the Company via the Affiliate portal.
• Advertising material shared by the Company may be used via digital marketing channels the Affiliate has access to.
• Affiliate acknowledges that all content and trademarks belonging to Company are the exclusive property of Company.

Rules on advertising and marketing communications

• Affiliates must comply with the ICC (https://icc.se/) rules on advertising and marketing communications.

Data breach or other intentional act

System intrusions or other willful acts that violate applicable laws will be reported to the respective authorities.

Dismissal

• Both the Affiliate and the Company have the right to terminate this Agreement with immediate effect without any notice period.
• The Company has the right to terminate the agreement and block the Affiliate from the Network services if the Affiliate does not comply with the Company’s terms and conditions. This also applies if the Company considers the content of the Affiliate’s website inappropriate or if the Affiliate abuses the service in any way.
• The termination of the contract must be immediately notified to the Affiliate by e-mail.
• In the event of termination of the Agreement for breach of the applicable terms and conditions, the Agreement will cease to be effective immediately, and no compensation, future or already accumulated, will be paid to the Affiliate.

Limitation of liability

The Company is not liable for indirect or consequential damages arising from the use of the Network.

Applicable Law

This Agreement shall be interpreted in accordance with Swedish law.
